1. Acceptance of Terms

These Terms and Conditions ('Terms') constitute a legally binding agreement between you ('User') and Yugality Consultancy Services Private Limited ('Yugality'). By accessing or using the website at www.yugality.com, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease using the website.

2. Eligibility

  • You must be at least 18 years of age to use this website.
  • If you are accessing the platform as a legal professional, you represent that you hold a valid enrolment with a State Bar Council under the Advocates Act, 1961, or equivalent qualification.
  • Corporate users represent that they have authority to bind their organisation to these Terms.

3. Description of Services

Yugality operates a LegalTech AI SaaS platform providing artificial-intelligence-assisted legal research, document review, drafting, and analysis tools designed for advocates, law firms, in-house legal teams, and legal researchers in India. The platform is a technology tool only and does not constitute legal advice.

4. Intellectual Property

  • All content on the website — including software, design, text, graphics, logos, and AI-generated interfaces — is the exclusive property of Yugality and is protected under the Copyright Act, 1957 and the Trade Marks Act, 1999.
  • You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content without prior written consent from Yugality.
  • User-uploaded content remains the property of the respective user or their clients. By uploading content, you grant Yugality a limited, non-exclusive, royalty-free licence to process such content solely for the purpose of delivering the requested service.

5. Prohibited Uses

You agree not to:

  • Use the platform to generate content intended to deceive or mislead courts, tribunals, or regulatory authorities.
  • Attempt to reverse-engineer, decompile, or extract the source code of the platform.
  • Upload content that infringes third-party intellectual property rights or contains malware.
  • Use the platform in violation of any applicable law including the Bar Council of India Rules, 1975.
  • Misrepresent AI-generated outputs as original legal research without independent verification.
  • Circumvent security measures, authentication systems, or access controls of the platform.

6. Disclaimers

  • NOT LEGAL ADVICE: Yugality is a technology company. Outputs generated by the platform do not constitute legal advice and are not a substitute for advice from a qualified advocate. Yugality accepts no liability for reliance on AI-generated outputs without independent professional review.
  • NO GUARANTEE OF ACCURACY: AI outputs may contain errors, omissions, or 'hallucinations'. All outputs must be independently verified.
  • AVAILABILITY: Yugality does not warrant uninterrupted, error-free access to the platform and may perform maintenance at any time.

7. Limitation of Liability

To the maximum extent permitted under applicable Indian law, Yugality's total aggregate liability to you for any claim arising out of or related to these Terms or your use of the website shall not exceed the amount paid by you to Yugality in the three months preceding the claim. Yugality shall not be liable for any indirect, consequential, incidental, special, or punitive damages.

8. Indemnification

You agree to indemnify and hold harmless Yugality, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your breach of these Terms, your misuse of the platform, or your violation of any applicable law.

9. Third-Party Links and Services

The website may contain links to third-party websites or services. Yugality does not endorse and is not responsible for the content, privacy practices, or terms of such third-party services.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be subject to mandatory good-faith negotiation for 30 days, failing which it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration at Patna, Bihar, conducted in English by a sole arbitrator mutually appointed by the parties.

11. Amendments

Yugality reserves the right to modify these Terms at any time. Amended Terms will be posted on the website with an updated effective date. Continued use of the website after such posting constitutes acceptance.
